Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Markup (the “Service”), a product operated by Sprout Solutions Phil., Inc. (“we”, “us”, “our”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and accounts

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) and able to form a binding contract. You are responsible for all activity under your account and for keeping your sign-in secure.

2. The Service

Markup lets you upload, view, and share single HTML files and bundles. The Service is provided free of charge during early access (“beta”) and on an “as is” and “as available” basis. Features, limits, and availability may change.

3. Acceptable use

You agree not to upload, host, share, or use the Service for content or activity that:

• is unlawful, infringing, defamatory, or violates the rights of others;
• contains malware, phishing, or code intended to harm users or systems;
• harvests data, attempts to bypass the sandbox or access controls, or disrupts or overloads the Service;
• is sexually exploitative of minors, or promotes violence or illegal activity.

We may remove content or suspend accounts that violate these Terms.

4. Your content

You retain ownership of the content you upload (“Your Content”). You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, render, and serve Your Content solely to operate and provide the Service — including rendering it in a sandbox and delivering it to the people you choose to share it with. You represent that you have the necessary rights to Your Content and that it does not violate these Terms or any law.

5. Sharing and access

Your files are private by default. You control access by sharing with specific email addresses, and only those people (after signing in) can open your files. You are responsible for your sharing choices and for any links you distribute. Anyone you share with may view and download the shared file.

6. Security and sandboxing

We render uploaded content in an isolated, sandboxed environment to reduce risk to you and other users. However, AI-generated and user-provided code may contain vulnerabilities. We do not warrant that any content is safe, and you upload, view, and share content at your own risk.

7. Intellectual property

The Service — including its software, design, and trademarks such as “Markup” and “Sprout” — is owned by us or our licensors. These Terms do not grant you any right to use our trademarks.

8. Third-party services

The Service relies on third-party providers for functions such as authentication and cloud hosting. Your use of the Service may be subject to their terms, and we are not responsible for third-party services.

9. Beta, changes, and availability

The Service is in early access and may be modified, suspended, or discontinued at any time, with or without notice. We do not guarantee availability and may delete data or accounts (for example, for prolonged inactivity, abuse, or at the end of the beta), subject to applicable law.

10. Suspension and termination

We may suspend or terminate your access for any violation of these Terms or to protect the Service or its users. You may stop using the Service at any time and request deletion of your account.

11. Disclaimers

To the maximum extent permitted by law, the Service and all content are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

12. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising from your use of the Service. Our total aggregate liability for any claim is limited to the greater of (a) the amount you paid us for the Service in the 12 months before the claim (which, during free early access, is zero) or (b) SGD 100.

13. Indemnity

You agree to indemnify and hold us harmless from any claims, damages, and expenses arising out of Your Content, your use of the Service, or your violation of these Terms or any law.

14. Governing law and disputes

These Terms are governed by the laws of Singapore, without regard to its conflict-of-laws rules. The courts of Singapore have exclusive jurisdiction over any dispute arising from these Terms or the Service, except that we may seek injunctive relief in any court of competent jurisdiction.

15. Changes to these Terms

We may update these Terms from time to time. The updated version takes effect when posted with a new “Last updated” date. Your continued use of the Service after changes take effect constitutes acceptance.
